The essay aims at showing how the jurisdidction of the Corte dei conti on the liability of directors of public entities owned companies may find its main rationale in the purpose of protecting the profittability of these companies, as intrumental for implementing Art. 97, par. 1, Constitution and the EU law principle of the rationale private investor.
